2.1 What EUNOIE Provides

EUNOIE is an emotionally intelligent AI ecosystem designed to help users navigate conversations, decisions, and high-stakes moments through personalized, context-aware guidance.

2.2 What EUNOIE Is NOT

EUNOIE is NOT:

• •A human advisor (all responses are AI-generated)

You acknowledge that AI can make mistakes or provide inaccurate information. You are solely responsible for decisions you make based on EUNOIE's guidance and should verify important information and consult qualified professionals when appropriate.

3. User Accounts

3.1 Account Creation

To use EUNOIE, you must create an account by providing a valid email address, a secure password, and any other required information. You agree to provide accurate, current, and complete information, keep your account information updated, keep your password confidential and secure, and notify us immediately of any unauthorized access to your account.

3.2 Account Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction), legally capable of entering into binding contracts, and not prohibited from using the Service under applicable laws. You may only create one account, may not share your account with others, and may not create an account on behalf of another person without authorization.

3.3 Account Termination

We may suspend or terminate your account if you violate these Terms, engage in fraudulent, abusive, or illegal activity, your account has been inactive for an extended period, or as required by law. You may terminate your account at any time by using the account deletion feature in the Service or contacting support. Upon termination, your access to the Service will end immediately, we will delete your personal data in accordance with our Privacy Policy (within 30 days), and you remain responsible for any charges incurred before termination.

4. Acceptable Use

You may use EUNOIE for personal, non-commercial purposes to receive career and communication guidance, prepare for professional conversations and decisions, and develop confidence and clarity in high-stakes situations.

5. Payment and Subscription Terms

5.1 Pricing

EUNOIE offers free beta access (limited time, limited features), paid subscriptions (monthly or annual plans), and one-time purchases (if applicable). Current pricing is available on our website/app.

5.2 Billing and Payment

Subscriptions auto-renew at the end of each billing cycle. You authorize us to charge your payment method on each renewal date and are responsible for maintaining valid payment information. Payments are processed by third-party providers (e.g., Stripe, PayPal), and we do not store your full credit card information. Prices do not include applicable taxes, and you are responsible for all taxes associated with your purchase.

5.3 Refund Policy

Free beta access is provided "as is" with no refunds. For paid subscriptions, there are no refunds for partial months. If you cancel mid-billing cycle, you retain access until the end of the current period, but no refund is issued. First-time users may be offered a limited refund window (e.g., 7 days) at our discretion. If the Service is unavailable due to our fault, we may provide prorated credits or refunds.

5.4 Cancellation

You may cancel your subscription at any time using the cancellation feature in your account settings or by contacting support. Upon cancellation, auto-renewal stops immediately, you retain access until the end of your current billing period, and no refund is provided for the remaining period (unless otherwise stated).

6. Intellectual Property Rights

6.1 Our Intellectual Property

EUNOIE and all related content, including the EUNOIE name, logo, branding, AI models, algorithms, technology, Service interface, design, features, and all text, graphics, and materials we create, are owned by EUNOIE or our licensors and are protected by copyright, trademark, and other intellectual property laws.

6.2 Your Content

"Your Content" means messages you send to EUNOIE AI assistants, feedback, suggestions, or testimonials you provide, and any other content you submit through the Service. You retain ownership of Your Content. By submitting Your Content, you grant EUNOIE a worldwide, non-exclusive, royalty-free license to use, store, and process Your Content to provide the Service, analyze Your Content (in anonymized form) to improve our AI models, and use feedback and testimonials for marketing (with your permission).

6.3 AI-Generated Content

AI-Generated Content consists of responses, suggestions, and guidance provided by EUNOIE AI assistants. You may use AI-Generated Content for personal, non-commercial purposes. We retain all rights to the underlying AI technology. You may NOT use AI-Generated Content to train competing AI models, republish it as your own work without attribution, or use it for illegal or harmful purposes.

7. Disclaimers and Limitations of Liability

7.2 Not Professional Advice

EUNOIE DOES NOT PROVIDE PROFESSIONAL ADVICE. AI-generated guidance is NOT a substitute for licensed therapists or mental health professionals, lawyers or legal counsel, financial advisors or accountants, medical doctors or healthcare providers, or career coaches or certified professionals in any field.

You acknowledge that AI can be wrong, biased, or incomplete. You are solely responsible for decisions based on EUNOIE's guidance, should consult qualified professionals for important decisions, and we are not liable for any consequences of following AI advice.

7.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, we are NOT liable for indirect, incidental, consequential, or punitive damages, lost profits, revenue, data, or business opportunities, emotional distress, reputational harm, or personal injury, damages resulting from your use (or inability to use) the Service, or damages from unauthorized access to your account.

Our total liability is limited to the amount you paid us in the 12 months before the claim, or $100 USD (whichever is greater). This limitation applies even if we were advised of the possibility of damages or a remedy fails of its essential purpose.

8. Indemnification

You agree to indemnify, defend, and hold harmless EUNOIE, its affiliates, and their respective officers, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

Before filing a claim, you agree to contact us to attempt informal resolution, provide a detailed description of the dispute, and allow us 30 days to respond and resolve the issue. Most disputes can be resolved this way without formal proceedings.

9.3 Arbitration

If informal resolution fails, you agree to binding arbitration instead of court litigation. The arbitrator's decision is final and binding, and each party pays their own costs (unless rules provide otherwise). Exceptions include small claims court (for claims under $10,000), intellectual property disputes, and injunctive relief (to prevent ongoing harm).

9.4 Class Action Waiver

You agree to resolve disputes individually, not as part of a class action, consolidated action, or representative action. If the class action waiver is found unenforceable, the arbitration clause does not apply.

10. General Provisions

10.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and EUNOIE regarding the Service and supersede all prior agreements, understandings, or communications.

10.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.

10.3 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms (e.g., in connection with a merger or acquisition) without your consent, but we will notify you.

10.4 Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, pandemics, acts of God, war, terrorism, civil unrest, government actions, strikes, labor disputes, or Internet or infrastructure failures.
